THE DNA COMPANY, INC.
This DNA University Terms and Conditions (“DNAU Agreement”) governs your access to and use of DNA University, an educational program offered by The DNA Company, Inc.
BY PURCHASING, ACCESSING, OR USING DNA UNIVERSITY, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO BE LEGALLY BOUND BY THIS DNAU AGREEMENT AND THE DNA COMPANY MASTER TERMS OF SERVICE, WHICH ARE INCORPORATED HEREIN BY REFERENCE.
1. DEFINITIONS
“DNA University” or “DNAU” means the proprietary, digital educational program offered by The DNA Company, including but not limited to online coursework, recorded lectures, videos, written materials, assessments, downloadable resources, proprietary frameworks, methodologies, community access, learning management systems (including Thinkific), and all related content, materials, and intellectual property.
“Company” means The DNA Company, Inc., with its principal place of business at 650 E. Parkridge Ave., Suite 109, Corona, CA 92879, and all affiliates, licensors, contractors, and entities under common ownership or control.
“User,” “Student,” or “You” means any individual who purchases, accesses, or uses DNA University.
2. ACCEPTANCE OF TERMS
2.1 Binding Agreement
Your purchase of DNA University and/or access to the DNA University student portal constitutes a legally binding agreement between you and The DNA Company. If you do not agree, you may not purchase or access DNA University.
2.2 Deemed Acceptance
Acceptance of this DNAU Agreement occurs upon any of the following:
- Completion of payment;
- Creation of a student account;
- Logging into the DNA University portal;
- Accessing any DNA University content.
2.3 Supplemental Terms
DNA University is also governed by The DNA Company’s Master Terms of Service, Privacy Policy, and any posted policies or disclosures. In the event of conflict, this DNAU Agreement controls solely with respect to DNA University.
3. NATURE OF DNA UNIVERSITY
3.1 Educational / Non-Medical Program
DNA University is not medical care and is not intended to diagnose, treat, cure, or prevent any disease. All content is educational and informational only.
No physician-patient, practitioner-patient, fiduciary, or advisory relationship is created by participation in DNA University.
3.2 AS-IS / Evolving Knowledge
DNA University is provided “AS IS” and “AS AVAILABLE”, based on current scientific, educational, and industry understanding, which may evolve without notice.
4. BILLING, FEES, AND FINAL SALE POLICY
4.1 Payment Authorization
You authorize The DNA Company to charge your selected payment method for all DNA University fees.
4.2 FINAL SALE – NO REFUNDS – DNA UNIVERSITY
ALL DNA UNIVERSITY SALES ARE FINAL.
Once payment is completed AND the student logs into the DNA University portal for the first time, the purchase becomes FINAL, NON-CANCELLABLE, AND NON-REFUNDABLE, except where expressly required by applicable law.
4.3 Access Equals Delivery and Use
You expressly acknowledge and agree that:
- Portal login constitutes delivery and full performance of the digital product;
- Access to proprietary educational content creates immediate and irreversible value;
- No minimum usage, completion, or participation is required to trigger final sale status.
4.4 No Refunds for Any Reason
No refunds, credits, or reversals will be issued for reasons including, but not limited to:
- Change of mind or dissatisfaction;
- Failure to complete or access content beyond initial login;
- Personal, medical, or financial circumstances;
- Time constraints or perceived lack of results;
- Third-party advice or opinions.
5. CHARGEBACKS AND DISPUTES
5.1 Chargeback Prohibition
By purchasing and accessing DNA University, you expressly agree not to initiate a chargeback or payment dispute.
Any chargeback initiated after portal access constitutes a material breach of this Agreement.
5.2 Evidence Authorization
In the event of a dispute, you authorize The DNA Company to submit:
- Login timestamps;
- IP access logs;
- Course enrollment records;
- Acceptance of this Agreement;
- Program descriptions
as evidence to payment processors.
6. INTELLECTUAL PROPERTY
All DNA University content is proprietary intellectual property of The DNA Company.
You may not:
- Copy, distribute, record, reproduce, or resell content;
- Share login credentials;
- Create derivative works;
- Use content for commercial purposes without written authorization.
7. ACCOUNTS & SECURITY
You are solely responsible for maintaining the confidentiality of your login credentials. Unauthorized access resulting from your failure to safeguard credentials is your sole responsibility.
8. TERMINATION
The DNA Company may suspend or terminate your access to DNA University at any time for violation of this Agreement, without refund or liability.
9. DISCLAIMER OF WARRANTIES
DNA UNIVERSITY IS PROVIDED WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
ALL IMPLIED WARRANTIES ARE DISCLAIMED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
10. LIMITATION OF LIABILITY
TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR DNA UNIVERSITY IN THE 12 MONTHS PRECEDING ANY CLAIM.
THE COMPANY SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.
11. GOVERNING LAW & DISPUTE RESOLUTION
This Agreement is governed by the laws of Riverside County, California.
All disputes shall be resolved by mandatory binding arbitration in Riverside County, CA.
12. ACKNOWLEDGMENT, RELEASE & WAIVER
You acknowledge that participation in DNA University is voluntary and at your own risk.
You hereby waive, release, and forever discharge The DNA Company and its affiliates from any claims arising out of or related to DNA University, to the maximum extent permitted by law.
FINAL SALE NOTICE – DNA UNIVERSITY
By completing your purchase and logging into the DNA University student portal, you acknowledge that DNA University is a final-sale digital educational product and is non-refundable once access is granted.
